RESERVE MEMBERSHIP
At a certain scale the constraint stops being expertise and becomes access. Deals move on a timeline that does not accommodate a queue, and the questions that decide an outcome are asked in the hour they arise. RESERVE is the firm’s answer to that: a membership deliberately capped so that the principal reaches the practitioner directly, with the firm’s full analytical and documentation capability held open to the member across every phase of the life cycle.
What RESERVE Includes
Every engagement level provides integrated tax counsel, transactional support, and audit defense across all three phases of the real estate life cycle. What differs between levels is the depth of service in each phase, the number of transactions covered, and the access the principal client maintains with the firm.
- Structuring for complex and multi-investor acquisitions, including fund vehicles, blocker structures, and cross-border capital
- Contracts, diligence, and the capital stack negotiated with the tax terms designed rather than accepted
- FIRPTA, treaty, and anti-deferral analysis on inbound and outbound positions
- Cost segregation, bonus depreciation, and placed-in-service planning across the whole holding
- § 1031 forward and reverse exchange design
- Partnership and operating agreements, allocations, and waterfalls maintained as living tax documents
- Material participation, REPS, and short-term-rental strategy with the documentation built as it happens
- Development, construction, leasing, refinancing, and recapitalization read for tax consequence at each step
- Multi-state, residency, and international compliance and information reporting
- Return review across the member’s entities, supporting rather than displacing existing advisers
- Pre-sale restructuring, subdivision, and basis allocation on the exit
- § 1031 exchanges, installment sales, Opportunity Zone deferral, and condemnation planning
- FIRPTA withholding and withholding-certificate work for foreign sellers
- Full reporting and, where the firm issued the opinion, defense of the position through examination and appeals
Donovan-Structured. Donovan-Defended.
Any transaction the firm structures and issues a written tax opinion on is defended by the firm through IRS or state examination and administrative appeals at no additional engagement charge. The same practitioner who designs the position reads the workpapers, signs the return, and defends the position if it is examined. One file, one team, end to end — planning, compliance, and controversy under one practitioner, with no handoffs that introduce gaps in the record.
The Member Workspace
RESERVE membership includes the firm’s complete analytical and documentation toolset — strategic tax modeling with the proprietary Donovan Legal Tax Strategy overlay, deal economics and feasibility analysis, investor routing and entity classification, the full entity formation set, and the contemporaneous § 469 and REPS record. The tools organize the record; the position is prepared by the firm.
A Private Membership of 100
RESERVE is limited to 100 members, hand-selected by the firm. Each member receives a numbered black card (001–100) bearing the member’s identifier and a summary of benefits. The card is issued in a leather holder and provides priority access to the firm and to curated member benefits.
Beyond the engagement services above, RESERVE membership includes access to the firm’s full real estate analyzer with the proprietary Donovan Legal Tax Strategy (not available at any other level or to the public), and the annual RESERVE gathering — a small private dinner of members hosted by the firm.
Membership is offered by invitation following a confidential consultation. The firm reserves the right to decline applications without explanation. An advisory board comprised of the firm and selected members governs admissions and benefits as membership matures.
Scope of Practice
Tax and tax-driven structuring nationwide. The firm advises on federal, state, and international tax matters for clients anywhere in the United States, and structures transactions using entities formed in any U.S. or qualifying foreign jurisdiction. Florida and Massachusetts real estate transactional work is handled directly by the firm; closings and state-specific transactional work elsewhere are coordinated with local counsel, with the firm leading the tax and structural design.
Each level is individually scoped. Engagement terms are set in a confidential consultation and documented in a written engagement letter; the firm does not publish or quote pricing.
