PLATINUM
Your Portfolio Deserves More Than a Generalist
For clients with a real estate portfolio who need more than generalist counsel — active developers, fund principals, and operators with multi-state or cross-border holdings who want a proactive tax partner in the room while a deal is being structured, not after it has closed.

A portfolio does not behave like a property. Positions interact: a disposition in one entity changes the character of a loss in another, a refinancing moves debt allocations across partners, a new state creates a filing and a residency question at the same time. Generalist counsel reads each transaction on its own. PLATINUM reads them against each other, and against the returns that will report them.

What PLATINUM Includes

Every engagement level provides integrated tax counsel, transactional support, and audit defense across all three phases of the real estate life cycle. What differs between levels is the depth of service in each phase, the number of transactions covered, and the access the principal client maintains with the firm.

Acquisition
  • Structuring for multi-entity and multi-investor acquisitions, including partnership allocations under § 704(b) and blocker structures where foreign capital is involved
  • Purchase contracts and diligence, with the tax terms negotiated rather than inherited
  • Capital-stack review across the financing — preferred equity, mezzanine, and assumed debt read for their allocation and at-risk consequences
  • FIRPTA analysis where a foreign buyer or seller is in the transaction
  • Cost segregation and bonus depreciation coordinated across the portfolio’s placed-in-service calendar
Ownership
  • Operating and partnership agreements drafted and amended as tax documents, including allocation and distribution waterfalls that hold up on audit
  • Commercial leasing reviewed for the tax and structural consequences of the terms
  • Material participation, REPS, and short-term-rental strategy across grouped activities
  • Recapitalization and refinancing planning ahead of the transaction, not after it
  • Multi-state and residency planning, including PTET elections and the Northeast-to-Florida question
  • Return review of the existing CPA’s work — additive to that relationship, not a replacement for it
Disposition
  • Pre-sale restructuring, subdivision, and basis allocation
  • Forward and reverse § 1031 exchanges, installment sales, and Opportunity Zone deferral
  • FIRPTA withholding and Form 8288-B certificates for foreign sellers
  • Coordinated reporting across every entity the disposition touches
Across All Four Levels

Donovan-Structured. Donovan-Defended.

Any transaction the firm structures and issues a written tax opinion on is defended by the firm through IRS or state examination and administrative appeals at no additional engagement charge. The same practitioner who designs the position reads the workpapers, signs the return, and defends the position if it is examined. One file, one team, end to end — planning, compliance, and controversy under one practitioner, with no handoffs that introduce gaps in the record.

The Member Workspace

PLATINUM members work from a private member workspace that adds multi-member entity formation to the GOLD toolset, alongside § 1031 modeling, rental real estate strategy analysis, and the material-participation and REPS log. The tools organize the record; the position is prepared by the firm.

Scope of Practice

Tax and tax-driven structuring nationwide. The firm advises on federal, state, and international tax matters for clients anywhere in the United States, and structures transactions using entities formed in any U.S. or qualifying foreign jurisdiction. Florida and Massachusetts real estate transactional work is handled directly by the firm; closings and state-specific transactional work elsewhere are coordinated with local counsel, with the firm leading the tax and structural design.

Each level is individually scoped. Engagement terms are set in a confidential consultation and documented in a written engagement letter; the firm does not publish or quote pricing.
