Eight-Step Document Assembly

Drafts a Multi-Member LLC across ten jurisdictions (Florida, Delaware, Wyoming, Texas, New York, California, South Carolina, North Carolina, South Dakota, and Nevada). Produces the three-document deal package for a single-class entity with all-cash contributions: Operating Agreement, Subscription Agreement, and Joinder Agreement, plus a securities-compliance companion document calibrated to the offering posture.

What this tool produces. The Operating Agreement is state-parameterized for charging-order treatment, fiduciary-duty modification (Delaware § 18-1101(c) where elected), partnership tax provisions (Subchapter K, § 754, § 752, BBA Partnership Representative with push-out), and standard exit mechanics (ROFO, ROFR, drag-along, tag-along). Distributions are pro-rata with an optional single-tier Preferred Return; the Operating Agreement uses traditional allocations following Percentage Interests. The securities-compliance companion is either a JV Securities Analysis Memorandum (Howey/Williamson factors) for a joint-venture posture, or a Risk Disclosure Letter (in lieu of full PPM) for a Reg D 506(b) friends-and-family posture with up to thirty-five (35) sophisticated non-accredited investors.
What this tool does not cover. HoldCo·OpCo structures, § 704(c) machinery for contributed property other than cash, multi-tier IRR-hurdle waterfalls with sponsor catch-up and clawback, full § 704(b) safe-harbor allocations (PIPCA, QIO, minimum-gain chargebacks), and Reg D 506(c) general-solicitation offerings with full PPMs are reserved for the RESERVE twelve-step tool. The firm will route the engagement to the appropriate tool at the outset of the deal.
